1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between Tivanta (“we”, “us”, “our”) and the client (“you”, “your”) who subscribes to our website design and management services. By subscribing to our services, you agree to be bound by these Terms in full. Please read them carefully before proceeding.
2. Services Provided
Under your active subscription, we provide the following services:
- Custom website design and development tailored to your brand.
- Unlimited website modifications upon request.
- Ongoing website maintenance, including software updates and performance checks.
- Search Engine Optimisation (SEO) to improve your visibility on Google and AI search platforms.
- A professional branded email address associated with your domain.
- Domain name registration and website hosting.
- Regular website security checks, including monitoring for malware, viruses, and DDoS attacks.
- Daily website backups.
The specific services included in your package will be confirmed at the point of subscription. We reserve the right to update, modify, or enhance our service offering at any time.
3. Subscription & Payments
3.1 Our services are provided on a monthly subscription basis. Payments are due on the same date each month, corresponding to the date your subscription commenced.
3.2 All subscription fees must be paid in full and on time to maintain uninterrupted access to your website and associated services.
3.3 We reserve the right to suspend or terminate your services in the event of a missed or failed payment. We will endeavour to notify you prior to any suspension.
3.4 Subscription prices are subject to change. We will provide a minimum of 30 days’ written notice of any price changes.
4. Cancellation Policy
4.1 You may cancel your subscription at any time by contacting us in writing. Cancellation will take effect at the end of your current billing period.
4.2 No refunds will be issued for any unused portion of a billing period following cancellation.
4.3 Upon cancellation, all services will cease at the end of the final billing period, including access to your website, domain, hosting, email address, and any associated services.
5. Domain & Website Ownership
5.1 The domain name and website provided to you remain accessible throughout the duration of your active subscription. You have the right to use and operate your website and domain for as long as your subscription remains active.
5.2 Upon cancellation or termination of your subscription, your right to access, use, and operate the domain and website will immediately cease. We reserve the right to take the website offline and reclaim the domain following the end of your subscription period.
5.3 We are not liable for any loss of traffic, revenue, followers, or business resulting from the cessation of your website following cancellation.
6. Website Design & Intellectual Property
6.1 The design, layout, visual identity, code, and overall aesthetic of your website are and remain the intellectual property of Tivanta at all times.
6.2 During your active subscription, you are granted a non-exclusive, non-transferable licence to use this design for the purposes of your online presence and personal branding.
6.3 Upon cancellation or termination of your subscription, this licence is immediately revoked. You may not reproduce, replicate, copy, or use any element of the website design following the end of your subscription, whether on a new platform, website builder, or any other medium.
7. Client-Provided Content
7.1 Any content you provide to us for inclusion on your website — including but not limited to images, videos, text, logos, and branding materials — remains your intellectual property at all times.
7.2 By providing content to us, you confirm that you hold the necessary rights, licences, and permissions to use and publish that content, and that it does not infringe the intellectual property rights of any third party.
7.3 We accept no liability for any content provided by the client that is found to be in breach of copyright, trademark, or any other applicable law.
8. Website Modifications
8.1 Unlimited website modifications are included as part of your subscription. Modification requests must be submitted to us in writing via email or our designated communication channel.
8.2 We will endeavour to complete all modification requests within a reasonable timeframe. Complex or significant structural changes may take longer, and we will communicate an estimated timeframe where necessary.
8.3 We reserve the right to decline modification requests that are deemed unlawful, offensive, or outside the reasonable scope of website management.
9. Website Security
9.1 We regularly monitor your website for malware, viruses, and DDoS attacks using trusted third-party security tools. Daily backups are performed to protect your website data.
9.2 Whilst we take all reasonable steps to maintain the security of your website, we cannot guarantee that your website will be completely free from all security threats at all times. We accept no liability for any losses arising from a security breach beyond our reasonable control.
10. SEO & Search Visibility
10.1 We will apply SEO best practices to your website to help improve its visibility on search engines and AI search platforms. However, we cannot guarantee specific rankings, positions, or levels of organic traffic, as these are determined by third-party platforms beyond our control.
10.2 SEO results are typically achieved over time and may vary depending on your niche, competition, and content.
11. Limitation of Liability
11.1 To the fullest extent permitted by applicable law, Tivanta shall not be liable for any indirect, incidental, consequential, or special damages arising from or in connection with your use of our services.
11.2 Our total liability to you in connection with any claim arising under these Terms shall not exceed the total subscription fees paid by you in the three months preceding the claim.
12. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We reserve the right to update or amend these Terms at any time. We will notify you of any significant changes with a minimum of 14 days’ notice. Your continued use of our services following notification of changes constitutes your acceptance of the updated Terms.
